Terms of Service

These Terms, together with any documents they expressly incorporate by reference, govern your access to and use of the Service. NexAEO may update these Terms from time to time. Where a change is material, NexAEO will give you reasonable prior notice by email or through the Service before the change takes effect. The "Last updated" date at the top shows when these Terms were last revised. Your continued use of the Service after the effective date of an updated version means you accept the updated Terms. If you do not agree to an update, you must stop using the Service and may cancel as described in these Terms.

Wherever the following terms are used in these Terms, they have the meanings given below.

• "Affiliate" means, with respect to a Party, any entity controlling, controlled by, or under common control with that Party.
• "Service" means the NexAEO AI Search visibility platform and all related features that NexAEO makes available at https://nexaeo.com/ and at the NexAEO application, including the Generative Search Monitor, GEO Magic Tool, Prompt Research, and GEO Content Studio.
• "AI Search Engine" means a third-party generative or AI-assisted search system that the Service monitors, currently ChatGPT, Google AI Overviews, Google AI Mode, Google Gemini, and Perplexity. The set of monitored engines may change.
• "Prompt" means a query or phrase that the Customer configures for the Service to submit to, and monitor across, AI Search Engines.
• "Project" means a workspace object in which the Customer organizes a brand or website together with its Prompts, competitors, and tags.
• "AI Success Score" means the automated, aggregated metric the Service calculates from observed citations, brand mentions, and sentiment.
• "Customer Content" means all data, text, Prompts, brand and competitor names, files, and other materials that the Customer submits to, or generates through, the Service.
• "Top-Up Credits" means optional, non-refundable supplemental capacity credits that may be purchased and consumed exclusively by Customers holding an active paid Subscription to run additional actions across NexAEO tools.
• "API" means the NexAEO REST API and Model Context Protocol (MCP) Server, which are currently in development ("Coming Soon") and are not active components of the Service until commercially released.
• "Subscription" means a paid plan that the Customer configures from the number of monitored Prompts, how often those Prompts are refreshed, the AI Search Engines selected, and any optional add-ons.
• "Subprocessor" means a third party that NexAEO engages to process Customer Content in order to provide the Service.
• "Documentation" means the user guides, help materials, and API documentation that NexAEO makes available for the Service.

NexAEO is a self-serve business software service that tracks how a brand or website appears inside AI Search Engines. The Service submits the Customer's Prompts to the AI Search Engines the Customer selects, observes the answers those engines return, and measures citations, brand mentions, and sentiment, which it aggregates into the AI Success Score and related metrics. The Service also supports organizing this monitoring by Project, competitor, and tag.

NexAEO features four core tools: Generative Search Monitor (tracks AI search visibility), GEO Magic Tool (optimizes brand mentions), Prompt Research (analyzes AI queries), and GEO Content Studio (generates AI-optimized content).

The Service depends on third-party AI Search Engines and data-collection providers that NexAEO does not own or control. The availability, behavior, and output of any particular engine may change or become unavailable, and NexAEO may add, remove, or modify monitored engines and features.

The Service is available to registered users worldwide, except where restricted by the Sanctions and Export Controls section or by applicable law. By using the Service, you represent and warrant that you are at least 16 years old, or the age of digital consent in your country if higher, and that you are able to form a legally binding contract. The Service is not directed to children.

To use the Service, you must create an account. You agree that all information you provide at registration and afterwards is correct, current, and complete, and that you will keep it up to date. Your handling of, and our handling of, information you provide is governed by the Privacy Policy.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Treat your username, password, any multi-factor codes, and, once the upcoming (Coming Soon) REST API and MCP Server are commercially available, any API keys as confidential, and do not share them. Notify NexAEO promptly at hello@nexaeo.com of any unauthorized access to or use of your account or any other suspected breach of security. You should log out at the end of each session and take particular care when using a shared or public device.

NexAEO may disable any credential or identifier, whether chosen by you or issued by us, at any time if we reasonably believe you have violated these Terms or that account security is at risk.

The Service is organized into workspaces. A workspace holds the Projects, Prompts, Customer Content, and Subscription of one Customer. Where a workspace is created for an organization, that organization is the Customer, and the workspace Owner acts on its behalf. Membership of a workspace is not charged for per person, and NexAEO does not limit how many people a workspace may contain.

Roles. Every member of a workspace holds one of four roles, which determine what that member may do: Guest, User, Admin, and Owner.

One Owner, and Owner-only actions. Each workspace has exactly one Owner, and there is no co-owner role. Only the Owner may change the plan, cancel the Subscription, enable or remove add-ons, transfer ownership, or permanently delete the workspace.

Transferring ownership. Ownership changes only through an explicit transfer. The Owner first promotes the intended recipient to Admin, then starts the transfer.

Joining and leaving. Members join by invitation sent to a specific email address. An Admin or the Owner may remove any member below their own role.

Deleting your account. You may delete your NexAEO account yourself from Settings.

Free trial. NexAEO offers a 7-day free trial. Eligibility: the free trial is strictly limited to one (1) trial per person/user across a single initial workspace/account. Creating multiple accounts to claim additional trials is prohibited. No payment card is required to start the trial. Included trial quotas: during the 7-day free trial, the Customer receives a fixed starter allocation of five (5) allowances in Generative Search Monitor, one (1) allowance in GEO Magic Tool, and one (1) allowance in GEO Content Studio. Trial restrictions: the Prompt Research tool is strictly locked and unavailable during the free trial and unlocks only upon upgrading to a paid Subscription. Free trial accounts cannot purchase or consume Top-Up Credits, and have no access to upcoming API/MCP features. The trial does not automatically convert into a paid Subscription, and NexAEO will not charge you unless you affirmatively start a paid Subscription.

Paid Subscriptions. Paid Subscriptions unlock full access to all four core tools (Generative Search Monitor, GEO Magic Tool, Prompt Research, and GEO Content Studio) across our supported AI Search Engines (ChatGPT, Google AI Overviews, Google AI Mode, Google Gemini, and Perplexity), up to the recurring allowances of the selected subscription tier.

Top-Up Credits. Customers on an active paid Subscription may purchase additional Top-Up Credits to expand their tool usage mid-cycle. Top-Up Credits cannot be purchased or used by Free Trial users. An active paid Subscription is strictly required to consume Top-Up Credits; if a Customer's paid Subscription is canceled, expires, or lapses for non-payment, any remaining Top-Up Credits in the account are frozen and cannot be used unless and until an active paid Subscription is reinstated.

Payment method. A valid payment method is required only when you start a paid Subscription or purchase Top-Up credits. You authorize NexAEO to charge your payment method for the fees due.

Automatic renewal. Your Subscription is billed in advance for the prepayment period you choose, and renews automatically for another period of the same length, at the then-current price for your plan, unless you cancel before the current period ends.

How to cancel. The workspace Owner may cancel at any time from Workspace Settings. Cancellation takes effect at the end of the period you have already paid for; you keep access until then, and you will not be charged again after you cancel.

No refunds. All paid Subscriptions and Top-Up Credit purchases are final and non-refundable, and are billed in USD via Stripe. Canceling a Subscription stops future recurring billing at the end of the current paid period.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, other than taxes on NexAEO's net income.

Programmatic access via the NexAEO REST API and MCP Server is "Coming Soon". It is not currently included in any trial or subscription plan, and will be governed by supplemental API terms upon official release.

AI outputs are third-party content. The Service monitors and displays answers, citations, sources, and other outputs generated by third-party AI Search Engines. Those outputs are created by the third-party systems, not by NexAEO. NexAEO does not author, control, verify, endorse, or guarantee the accuracy of any AI-generated output.

Metrics are estimates. The AI Success Score and related metrics are automated estimates produced by algorithmic processing and are provided for informational purposes only.

No model training. NexAEO does not use Customer Content or your monitored Prompt text to train NexAEO's own artificial-intelligence or machine-learning models.

You retain all rights in your Customer Content. You grant NexAEO a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content solely to provide, secure, support, and maintain the Service. You represent and warrant that you have the rights necessary to submit your Customer Content.

Marketing reference (opt-in). NexAEO will use your name, trade name, logo, or trademarks to identify you as a customer for marketing purposes only with your prior consent.

The Service, the Documentation, and all intellectual property rights in them are and remain the exclusive property of NexAEO and its licensors. Subject to these Terms and your payment of applicable fees, NexAEO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. You must not copy, modify, distribute, sell, or lease any part of the Service, and you must not reverse engineer, decompile, or disassemble the Service.

Feedback. If you provide suggestions or feedback about the Service, NexAEO may use it without restriction or obligation to you.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• use the Service in violation of any applicable law or third-party right;
• access the Service by automated means (including, once commercially released, other than through the authorized NexAEO REST API or MCP Server);
• probe, scan, or test the vulnerability of the Service;
• introduce malware or any code intended to disrupt the Service;
• reverse engineer, decompile, or disassemble the Service;
• submit special-category or sensitive personal data to the Service;
• misrepresent your identity or affiliation.

NexAEO respects intellectual-property rights and responds to notices of alleged copyright infringement. If you believe that content available through the Service infringes your copyright, send a written notice to NexAEO at hello@nexaeo.com.

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions, and that you are not identified on any restricted-party or sanctions list maintained by the United States. You will not access or use the Service in violation of any applicable sanctions or export-control laws.

Privacy. NexAEO's handling of personal data is described in the Privacy Policy at https://nexaeo.com/privacy-policy/.

Subprocessors. You authorize NexAEO to engage Subprocessors to provide the Service.

Security. NexAEO maintains an information-security program with administrative, technical, and physical safeguards designed to protect the Service and Customer Content.

Security-incident notification. If NexAEO confirms a security incident that compromises your Customer Content, NexAEO will notify you without undue delay.

No special-category data. You must not submit special-category or sensitive personal data to the Service.

NexAEO provides the Service on a subscription basis and works to keep it available, but does not warrant that the Service will be uninterrupted, timely, secure, or error-free. NexAEO may modify, suspend, or discontinue features of the Service. Because the Service depends on third-party AI Search Engines, the availability and coverage of any particular engine may change.

You may stop using the Service and cancel your Subscription at any time. NexAEO may suspend or terminate your access to all or part of the Service if you materially breach these Terms. On termination, your right to use the Service ends. Provisions that by their nature should survive termination survive.

TO THE FULLEST EXTENT PROVIDED BY LAW, YOUR USE OF THE SERVICE AND ANY CONTENT, METRICS, OR OUTPUT OBTAINED THROUGH IT IS AT YOUR OWN RISK, AND THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEXAEO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

Force majeure. NexAEO is not liable for any failure or delay in performance caused by events beyond its reasonable control.

Exclusion of indirect damages. To the fullest extent provided by law, neither Party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

Cap on liability. To the fullest extent provided by law, NexAEO's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid to NexAEO for the Service in the twelve (12) months immediately before the event giving rise to the liability.

You agree to defend, indemnify, and hold harmless NexAEO, its Affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

Informal resolution first. Before starting any formal proceeding, the Parties will try in good faith to resolve any dispute by negotiating for at least thirty (30) days.

Arbitration (business customers). Any dispute that is not resolved informally will be finally resolved by binding arbitration rather than in court, except for intellectual-property or confidentiality matters.

Class action waiver. To the extent permitted by applicable law, disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class proceeding.

Limitation period. To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arose.

These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of New Mexico, United States, without giving effect to any choice or conflict-of-law provision or rule.

Subject to the arbitration provisions above, any suit, action, or proceeding shall be brought exclusively in the courts located in New Mexico, USA.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and NexAEO regarding the Service.

Assignment. You may not assign or transfer these Terms without NexAEO's prior written consent.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be eliminated or limited to the minimum extent necessary.
